Terms & Conditions

1. Acceptance of Terms
By engaging Sigil for legal advisory services or using our website, you agree to these Terms and Conditions. If you do not agree, you should not use our services. These terms constitute the entire agreement between you and Sigil regarding the provision of services.
2. Service Description
Sigil provides legal advisory services in three areas:
- • Power of Attorney preparation and consultation
- • Mergers and Acquisitions advisory and support
- • Employment dispute resolution and guidance
Services are provided within Hong Kong and are subject to availability and scope agreement in writing.
3. Scope of Engagement
The scope of our engagement will be documented in writing before work commences. Sigil will advise you only on matters expressly included in the agreed scope. Any work outside the agreed scope will be discussed and may incur additional fees.
4. Fees and Payment
Our standard fees are set out on our Services page and quoted in Hong Kong Dollars (HKD). Fees are typically charged on a fixed-fee basis for defined engagements. Payment terms are 30 days from invoice date unless otherwise agreed. We accept bank transfer and electronic payment.
If an engagement requires work beyond the agreed scope, we will advise you in advance and obtain your approval before proceeding with additional work.
5. Professional Standards
Sigil's advisers are qualified in Hong Kong law and bound by professional rules of conduct and ethics. We maintain professional indemnity insurance covering our services. Our work is conducted in accordance with professional standards applicable to legal practitioners in Hong Kong.
6. Confidentiality and Privilege
All information you provide to Sigil is treated as confidential and protected by professional privilege. We will not disclose your information to third parties without your explicit consent, except:
- • As required by law or court order
- • To service providers assisting with your matter under confidentiality obligations
- • To regulatory or professional bodies as required
Legal professional privilege extends beyond these terms and is a matter of law in Hong Kong.
7. Client Responsibilities
You agree to:
- • Provide accurate and complete information
- • Disclose relevant facts that could affect our advice
- • Respond promptly to our communications and requests
- • Make timely decisions to avoid delays in your matter
- • Pay our fees in accordance with payment terms
8. Limitations of Service
Our advice is based on information available at the time. We do not:
- • Guarantee specific legal or commercial outcomes
- • Provide advice on matters outside our expertise or agreed scope
- • Represent you in court proceedings unless explicitly agreed
- • Advise on tax or accounting matters (you should consult relevant professionals)
Our advice is subject to applicable law and circumstances. Laws and regulations may change after advice is provided.
9. Limitation of Liability
Except as required by law, our liability for any claim arising from our services is limited to the amount of fees paid for the specific engagement giving rise to the claim. We are not liable for:
- • Indirect, consequential, or special damages
- • Lost profits, business opportunity, or anticipated savings
- • Your failure to follow our advice
- • Outcomes resulting from third-party actions beyond our control
10. Termination
Either party may terminate an engagement by written notice. Upon termination:
- • We will cease work and return your documents and materials
- • You will pay fees for work completed to the termination date
- • We retain the right to charge for reasonable wind-down costs
- • Confidentiality obligations survive termination indefinitely
11. Dispute Resolution
If a dispute arises regarding our services, we encourage informal resolution through direct communication. If resolution cannot be reached, the dispute will be governed by Hong Kong law and subject to the exclusive jurisdiction of Hong Kong courts.
12. Governing Law
These Terms and Conditions are governed by the laws of Hong Kong and you agree to submit to the jurisdiction of Hong Kong courts.
13. Entire Agreement
These Terms and Conditions, together with any written engagement letter or scope agreement, constitute the entire agreement between us regarding legal services. Any amendments must be made in writing and signed by both parties.
14. Changes to Terms
Sigil may update these Terms and Conditions at any time. Material changes will be communicated to you. Your continued engagement with us constitutes acceptance of updated terms.
